1. Acceptance of Terms

By creating a Modozo account, accessing our website, using any Modozo service, uploading files, or inviting team members to your workspace, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you — and, where applicable, the organization you represent — and Modozo.

  • Creating or accessing a Modozo account
  • Browsing the Modozo website or marketing pages
  • Uploading tech packs, samples, or production data
  • Inviting vendors, factories, or team members to a workspace
  • Integrating third-party tools with Modozo

If you do not agree to these Terms, you must discontinue use of the Modozo platform immediately. Continued access or use of the platform after changes to these Terms take effect constitutes acceptance of the revised Terms.

2. About Modozo

Modozo is a cloud-based Fashion Product Lifecycle Management (PLM) platform that helps brands, manufacturers, sourcing teams, merchandising teams, vendors, and factories collaborate throughout the apparel development and production lifecycle. The platform provides tools including:

  • Product Lifecycle Management (PLM) workflows
  • Tech pack creation and versioning
  • Sample management and approval tracking
  • Vendor and factory onboarding
  • Material and fabric libraries
  • Production tracking and milestones
  • Quality assurance checklists and reporting
  • Purchase order management
  • Cross-team collaboration and messaging
  • Workflow and approval automation
  • Document storage and management
  • Reporting and analytics dashboards

Modozo provides software services only. Modozo does not manufacture, produce, sell, or take title to any apparel, textile, or physical goods referenced, tracked, or managed within the platform, and is not a party to any transaction between brands, vendors, factories, or suppliers using the platform.

3. User Accounts

You are responsible for maintaining the confidentiality and security of your account credentials, including your password and any authentication methods associated with your account.

  • Passwords and login credentials must be kept confidential and not shared outside your organization without authorization
  • Your organization is responsible for all activity performed under accounts belonging to its employees, contractors, and invited users
  • You must provide accurate, current, and complete information when creating or updating an account
  • You must promptly update your account information if any details change
  • You must notify Modozo promptly of any unauthorized use of your account or suspected security breach

4. Acceptable Use Policy

You agree not to misuse the Modozo platform. The following activities are strictly prohibited:

  • Using the platform for any illegal, fraudulent, or unauthorized purpose
  • Uploading or transmitting viruses, malware, or other harmful code
  • Reverse engineering, decompiling, or attempting to derive the source code of the platform
  • Attempting to gain unauthorized access to any account, system, or network connected to Modozo
  • Uploading content that is defamatory, obscene, or infringes on the rights of others
  • Violating the intellectual property rights of Modozo or any third party
  • Sending unsolicited communications or spam through the platform
  • Misusing Modozo's APIs, including exceeding rate limits or bypassing usage restrictions
  • Interfering with or disrupting the performance, security, or availability of the platform
  • Sharing login credentials with unauthorized individuals

Modozo reserves the right to investigate suspected violations of this policy and to take appropriate action, including suspension or termination of accounts, as described in Section 15 (Suspension and Termination).

5. Intellectual Property

Modozo owns all right, title, and interest in and to the Modozo platform, including its software, source code, user interface, branding, logos, workflows, and documentation. Nothing in these Terms transfers any ownership of Modozo's intellectual property to you.

You and your organization retain full ownership of the content you upload to the platform, including tech packs, design files, images, specifications, and other documents ("Customer Content").

By uploading Customer Content, you grant Modozo a limited, non-exclusive, worldwide license to host, store, process, transmit, and display that content solely for the purpose of providing and improving the Modozo service to you. This license ends when your Customer Content is deleted from the platform, subject to Section 15.

6. Subscription Plans and Billing

Modozo is offered on a subscription basis. Plan features, pricing, and billing cycles (monthly or annual) are described at the time of purchase or in your order form.

  • Free trials, where offered, convert to a paid subscription unless cancelled before the trial period ends
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled in accordance with your plan terms
  • All fees are exclusive of applicable taxes, which will be added where required by law
  • Payment is due via the payment method on file at the start of each billing cycle
  • Failure to pay outstanding invoices may result in suspension of access to the platform until payment is received
  • Fees are non-refundable except where required by law or expressly stated in your order form

7. Data Storage and Security

Modozo stores customer data on secure cloud infrastructure and applies industry-standard technical and organizational security measures, including encryption of sensitive data in transit.

  • Regular backups are performed where applicable to reduce the risk of data loss
  • Access to production systems is restricted to authorized personnel
  • Security practices are reviewed and improved on an ongoing basis

While Modozo takes reasonable steps to protect your data, no online service can guarantee absolute security. You agree to maintain your own backups of critical business information, as described in Section 11 (Customer Responsibilities).

8. Privacy

9. Third-Party Services

Modozo may integrate with or rely on third-party services to provide certain features, including:

  • Payment gateways

Your use of these third-party services, where applicable, is governed by their own terms and privacy policies. Modozo is not responsible for the practices or performance of third-party services outside of our direct control.

10. Service Availability

Modozo strives to maintain high platform availability and reliability. However, we do not guarantee uninterrupted or error-free access to the service.

  • Scheduled maintenance windows may occasionally require temporary downtime
  • Features, workflows, and interfaces may evolve over time as the platform is improved
  • Temporary outages may occur due to factors outside our reasonable control

Modozo will make reasonable efforts to communicate planned maintenance and any significant service disruptions in advance where practicable.

11. Customer Responsibilities

As a customer of Modozo, your organization is responsible for:

  • Managing the users within your organization who are granted access to the platform
  • Ensuring that your use of the platform complies with applicable laws and regulations
  • Maintaining independent backups of critical business information, including tech packs, production data, and vendor records
  • Reviewing exported reports and data for accuracy before relying on them for business decisions
  • Maintaining accurate and up-to-date product, vendor, and order information within the platform

12. Confidentiality

Both parties agree to protect confidential business information exchanged through or in connection with the Modozo platform, and to use such information solely for the purposes of the business relationship between the parties. Confidential information may include, without limitation:

  • Product specifications and design files
  • Supplier and vendor information
  • Pricing and cost data
  • Manufacturing and production data
  • Design files and tech packs
  • Internal business documentation

Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is independently developed without reference to the disclosing party's confidential information.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Modozo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Business interruption
  • Loss of data caused by user error or misuse of the platform
  • Failures or outages caused by third-party services
  • Events arising from force majeure, including natural disasters, war, or governmental action

Modozo's total aggregate liability arising out of or related to these Terms or your use of the platform shall not exceed the amount paid by you to Modozo in the twelve (12) months preceding the event giving rise to the claim.

14. Disclaimer of Warranties

The Modozo platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

Modozo does not warrant that the platform will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. To the maximum extent permitted by law, Modozo disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Suspension and Termination

Modozo may suspend or terminate your access to the platform, in whole or in part, if we determine, in our reasonable judgment, that:

  • You have violated these Terms
  • Your account has been used for fraudulent or illegal activity
  • Your use of the platform poses a security risk to Modozo or other customers
  • Payment on your account is significantly overdue
  • You have abused or misused the platform, its APIs, or its support resources

Upon termination, your right to access the platform ends immediately. Modozo will retain customer data for a limited period following termination — as described in your order form or upon request — to allow for data export, after which it may be permanently deleted in accordance with our data retention practices.

16. Changes to the Terms

Modozo may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify you through one or more of the following:

  • Email notification to your account's registered contact
  • In-app or dashboard notifications
  • Updates published on our website

Your continued use of the platform after any such changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
